Welcome to Thundr Web Solutions ("we," "us," or "our"). By accessing or using our services, you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms"). Please read them carefully.
1. Acceptance of Terms
By using our services, you affirm that you are a representative of a company registered by a governing authority and have the authority to enter into this agreement.
2. Services
Thundr Web Solutions provides web development services for small to medium businesses in the construction and home service industry. Our services include:
- Generating a "thundr site" based on your existing website or selected template.
- Hosting of "thundr sites."
- An admin panel for uploading assets, customizing sites, and connecting domains (including third-party domains).
3. Account Registration and Security
Login Credentials: Clients log in to the thundr admin panel using the email address associated with their account. A one-time code will be sent to this email for authentication.
Account Responsibility: You are responsible for maintaining the confidentiality of your account and for all activities that occur under your account.
4. Client Obligations
Accurate Information: You agree to provide accurate and complete information when using our services.
Compliance: You agree to comply with all applicable laws and regulations.
5. Fees and Payment
One-Time Purchase: Clients may purchase a "thundr site" for a one-time fee.
Hosting Costs: Additional hosting fees are billed monthly via Stripe.
Payment Terms: Payments are processed securely through Stripe. Failure to make timely payments may result in service suspension or termination.
6. Refunds and Cancellations
Refund Policy: Refunds are available within 30 days of purchase, provided there is no breach of these Terms. Cancellation: You may cancel your subscription at any time by emailing team@thundr.ca.
7. Intellectual Property Rights
Client Content:
- You retain ownership of all content and assets you upload ("Client Content").
- You grant Thundr Web Solutions a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display Client Content solely for the purpose of providing and promoting the services.
Domains:
- You retain all rights to your domains, including those not owned by Thundr Web Solutions.
- Thundr Web Solutions does not claim ownership over your domains.
Thundr Web Solutions Content:
- All materials provided by Thundr Web Solutions, including software, data, and documentation, are protected by intellectual property laws.
- You are granted a limited license to use these materials solely for your use of the services.
8. Acceptable Use Policy
You agree not to use the services to:
- Upload or share content that is illegal, defamatory, obscene, pornographic, vulgar, offensive, or promotes discrimination.
- Infringe upon the intellectual property rights of others.
- Send spam or unsolicited messages.
- Introduce viruses or malicious code.
- Attempt to reverse engineer, decompile, or disassemble any part of the services.
- Engage in activities that could harm or disrupt the services.
9. Termination
By Thundr Web Solutions:
- We may suspend or terminate your access to the services immediately, without prior notice or liability, for any reason, including breach of these Terms.
- Services may be revoked without refund if the client fails to make hosting payments or violates the Acceptable Use Policy.
By Client:
- You may terminate this agreement by canceling your subscription via email to team@thundr.ca.
Effect of Termination:
- Upon termination, your right to use the services will immediately cease.
- Any outstanding fees become immediately due and payable.
10. Modifications to the Terms
- Thundr Web Solutions reserves the right to modify these Terms at any time.
- Changes will be effective upon posting the updated Terms on our website.
- We will notify you of significant changes by sending an email to the address associated with your account.
11. Limitation of Liability
No Warranties: Services are provided "as is" and "as available" without any warranties, express or implied.
Limitation of Liability:
- Thundr Web Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
- Our total liability shall not exceed the amounts you have paid to us in the last twelve (12) months.
12. Governing Law and Dispute Resolution
Governing Law: These Terms are governed by the laws of the Province of Ontario, Canada.
Arbitration:
- Any disputes arising out of or relating to these Terms shall be resolved through binding arbitration conducted in English in Ontario, Canada.
- The decision of the arbitrator shall be final and binding on both parties.
13. Privacy Policy
- We are committed to protecting your privacy. Please review our Privacy Policy, which explains how we collect, use, and safeguard your information.
14. Data Protection and Compliance
GDPR and CCPA Compliance:
- We adhere to applicable data protection laws, including GDPR and CCPA.
- You have rights regarding your personal data, including access, rectification, and deletion.
ADA Compliance:
- We strive to ensure that our services are accessible to all users, including those with disabilities.
15. Limitation of Service Availability
- Thundr Web Solutions guarantees service availability for at least one full calendar year after the purchase of a "thundr site."
- Beyond that time, we may cease operations with or without notice.
16. Disclaimer
- Thundr Web Solutions does not endorse or promote the content hosted on any "thundr site" or the businesses utilizing our services.
- We are not liable for any data loss caused by either party.
- We reserve the right to use any "thundr site" for marketing purposes, including any material uploaded to the client's site.
